Terms of Service

1. Who we are

Noveraq (the “Service”) is operated by Noveraq Ltd, a company registered in England and Wales, with its registered office at 27 Old Gloucester Street, London, WC1N 3AX (“Noveraq”, “we”, “us”). These Terms of Service (“Terms”) form a legal agreement between you (or the organisation you represent) and Noveraq. By creating an account or using the Service you agree to these Terms.

2. The Service

Noveraq is contract-to-billing reconciliation software provided on a subscription basis. It extracts commercial terms from the documents you upload and checks your billing data against them to highlight possible discrepancies. Findings are decision support to help you review your own records; they are not accounting, legal, tax, or audit advice.

3. Accounts and trials

You may start a free trial that runs for 30 days. No payment details are required to begin a trial. Trials are limited to one per organisation. You are responsible for keeping your login credentials secure and for all activity under your account. We may suspend or end trials that appear to abuse the Service or these Terms.

4. Fees and payment

After the trial, continued use of the Service costs £299 per month (UK) or $399 per month (US), exclusive of VAT. Subscriptions are billed monthly in advance through our payment processor, Stripe, starting from the date you choose to subscribe. No charges are made during the free trial. You authorise us and Stripe to charge the payment method you provide at conversion for each recurring billing period until you cancel.

5. Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current paid billing period, and you retain access until then. Fees already paid are non-refundable, including for partial months.

6. Your data

You retain all rights to the contracts, billing data, and other content you upload (“Customer Data”). You grant us a limited licence to process Customer Data solely to provide and support the Service to you. We do not sell Customer Data, and we do not use it to train machine-learning models. Our handling of personal data is described in our Privacy Policy.

7. Confidentiality

We treat the documents and data you upload as confidential and will not disclose them to third parties except the sub-processors needed to run the Service (see the Privacy Policy) or where required by law.

8. Acceptable use

You agree not to use the Service for any unlawful purpose, not to upload content you do not have the right to use, not to reverse engineer or attempt to extract the source code of the Service, and not to resell or provide the Service to third parties without our written agreement.

9. Service availability and changes

We use reasonable efforts to keep the Service available but do not warrant uninterrupted or error-free operation at this stage. We may add, change, or remove features over time to improve the Service.

10. Liability

The Service is provided “as is” and “as available”. Findings are decision support and not a substitute for professional accounting, legal, or audit advice. To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with the Service is limited to the fees you paid in the 12 months before the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

11. Termination

Either party may terminate this agreement at any time. On termination we will delete Customer Data within 30 days of your request, except where we are required to retain it by law.

12. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising from them.
